Strategic Agreement Enhances TitanBeach Project Development
Muskoka, Ontario – August 18, 2026 – Steadright Critical Minerals Inc. (CSE: SCM, OTC: SCMNF), a leader in mineral exploration, has announced significant developments regarding its TitanBeach Titanium Project located in Morocco. Following the recent acquisition of the TitanBeach Mining License, NSM Capital SARL, in which Steadright holds a 76.5% stake, has successfully secured a full 32% carried interest in the project. This carried interest is particularly advantageous as it involves no dilution risk for NSM Capital and does not require any additional financial contributions for exploration or production efforts.
The TitanBeach project encompasses an extensive area of 192 square kilometers, which includes a newly permitted mining concession spanning 16 square kilometers. This milestone marks the first mining license granted for heavy mineral sands (HMS) recovery in the coastal waters of the Atlantic Ocean, laying a strong foundation for future operations.
Formation of Shan Tang Mining and Collaboration with SOE
In a strategic move, NSM Capital has partnered with Homme Construction to form a special purpose vehicle named Shan Tang Mining. This new entity will oversee the TitanBeach claims, with NSM Capital holding a substantial 32% carried interest. L. Jouak, the General Manager of NSM Capital, will also serve as one of the General Managers of Shan Tang Mining, ensuring strong oversight and management.
The collaboration further extends with the signing of a Framework Cooperation Agreement with a State-Owned Enterprise (SOE) engineering and construction group. This agreement outlines key areas such as planning, design, and operational maintenance. The SOE Partner brings invaluable expertise, advanced technology, and established systems necessary for the successful development of HMS operations at TitanBeach.
Under the terms of the agreement, the initial focus will be on establishing a Pilot Plant at TitanBeach, along with devising a long-term mining strategy contingent on the pilot plant's outcomes. Additionally, the agreement anticipates the installation of further beneficiation processing equipment, with contracts already signed as of July 10, 2026.
Steadright's economic stake in the TitanBeach Project is primarily through its equity in NSM Capital, which translates to an effective interest of approximately 24.5% in the Shan Tang Mining SPV. Moreover, Steadright has the potential to increase its stake to 80% through a Shareholders Agreement with Critical Foundation Metals Inc.
